Agreement to terms

These Terms of Service ("Terms") govern access to and use of the Companion mobile and desktop application and related services (the "Service"), developed and operated by Harkirat Singh ("Companion", "we", "us", or "our"). By creating an account, accepting an invitation, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the business organization you represent.

Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. An "Owner" creates an Organization account and is responsible for that Organization's configuration, billing, and team. Owners may invite "Technicians," who accept a time-limited, single-use invitation to join the Organization. Each person must use their own individual sign-in and must not share credentials. You are responsible for all activity under your account and for keeping your credentials confidential.

Organization and Customer Data responsibilities

Organizations are solely responsible for the accuracy, lawfulness, and appropriateness of all Customer Data (customer, property, equipment, job, and financial records) they enter into the Service, and for having all rights, consents, and notices needed to collect and store that data under applicable law, including when photos, contact information, or payment-related data about their customers are involved. Organizations are responsible for managing their own Technicians' access, including promptly removing Technicians who should no longer have access.

Acceptable use

You agree not to: use the Service for any unlawful purpose or in violation of any applicable law; upload data you do not have the right to share; attempt to access another Organization's data without authorization; interfere with or disrupt the integrity or performance of the Service; reverse engineer or attempt to extract source code except as permitted by law; or use the Service to send unsolicited or unlawful communications to customers.

Payments and fees

During beta testing, access to the Service is provided without a Companion subscription fee, on an "as-is" basis for testing and feedback purposes; this may change with advance notice before general availability.

Organizations may separately choose to accept customer payments through Stripe Connect. Payments are processed by Stripe under Stripe's own terms of service, and any platform fee applied to a transaction is disclosed to the Organization by Stripe and/or in the Service before it is charged. Companion is not a party to, and does not guarantee, any payment between an Organization and its customer.

Ownership and license

As between the parties, an Organization retains all rights to the Customer Data and business records it enters into the Service. The Organization grants Companion a limited license to host, store, process, and transmit that data solely to provide, secure, and support the Service, as described in our Privacy Policy. Companion retains all rights in the Service itself, including its software, design, and trademarks.

Account and data deletion

A User may permanently delete their own individual account at any time from Profile > Delete account in the App. Deleting an individual account immediately disables that person's sign-in and removes their personal profile information, but does not delete an Organization's business records (jobs, invoices, service history, and similar), which the Organization is independently responsible for retaining. An Owner who is the sole active owner of an Organization with other active Technicians must first transfer ownership or remove those Technicians before deleting their own account, so the Organization is not left without an owner.

We may suspend or terminate access to the Service for any account that violates these Terms, poses a security risk, or where required by law.

Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any estimate, measurement, or calculation produced by the Service is free from error. You are responsible for independently verifying any measurement, price, tax, or invoice before relying on it.

Limitation of liability

To the maximum extent permitted by law, Companion will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service, even if advised of the possibility of such damages. Companion's total liability for any claim arising from the Service will not exceed the greater of (a) the amount you paid Companion, if any, in the 12 months before the claim, or (b) USD $100. Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification

You agree to indemnify and hold Companion harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law.

Governing law

These Terms are governed by the laws of the United States, without regard to conflict-of-laws principles, except where a User's local consumer-protection law requires otherwise.

Changes to these terms

We may update these Terms as the Service changes. We will provide notice of material changes in the App before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
